What we do

Thinkeen Legal is a law firm that specializes in corporate and commercial law,  domestic and cross-border transactions and compliance with a focus on startups, small and mid-sized companies. We have experience in many industries but specially in healthcare. We also offer outside general counsel services to clients who are not yet ready to hire an in-house counsel or those in need of a secondment while they fill a position. We have significant external and in-house legal experience having worked for premier firms and companies such as  Arnold & Porter, Baker & McKenzie, Baxter International, Olympus Corporation, and OPKO Health, Inc. We have been clients so we understand that Legal should be a business support function.

Some of our representative matters

  • Redesigned the global compliance program for a highly diversified multinational healthcare corporation with pharma, medical device and diagnostics operations.

  • Led the team that designed and implemented an online tool to provide compliance trainings to company third parties in the LATAM region (400+ people, 8,000+ modules) and was also responsible for the implementation and administration of an online Compliance learning management system for a global healthcare company.

  • Acted as counsel on behalf of a Fortune 500 multinational healthcare company in its successful acquisition of several hemodialysis clinics in Central America drafting and negotiating most of the transaction documents.

  • Coordinated and designed legal strategies for commercial and employment litigations in the Caribbean region with total value in excess of US$ 45 MM for a Fortune 500 multinational healthcare company.

  • Acted as lead co-counsel for a major Korean steel conglomerate in all aspects regarding the negotiation and sale of a US$120 million hot bricketted iron (HBI) mill in South America.

  • Advised a major South American pharmaceutical company in several transactions which resulted in the purchase of assets and businesses in Venezuela, Colombia, Peru, Ecuador and Central America, increasing the company’s portfolio.

  • Led the team that provided legal support to one of the largest logistic companies in the world in their successful multi-jurisdictional acquisition of several port facilities in Colombia, Ecuador and Venezuela.

Mergers & Acquisitions

M&A, particularly in cross-border settings is at the core of what we do. We represent both domestic and international buyers and sellers in the negotiation of mergers; stock, asset, and whole-business acquisitions; leveraged buyouts; as well as other transactions involving changes in corporate control. We assist clients in all phases of their acquisitions, from structuring and negotiation of initial term sheets or letters of intent, to due diligence, negotiation of final agreements and closing.

Compliance

We understand that Compliance is a business support function and we can provide you with sound legal advice to support your growth in a sustainable manner. We have extensive experience in the design and day-to-day administration of practical yet effective ethics and compliance programs both domestically and internationally, and have solid experience in matters involving healthcare fraud and abuse, domestic and international anticorruption, internal investigations, product promotion, privacy and transparency reporting.
